How to Vote at the Canoo 2023 Annual Meeting

Last week at Canoo's scheduled Annual Meeting for 2023, they had to postpone due to not meeting quorum, which just means they didn't have enough votes pre-cast or accounted for being logged in ready to vote at the time.


On the Date of Record, October 27, 2023, there were 704,742,479 shares outstanding and entitled to vote. The holders of 352,371,240 shares or more would have to be present in person or represented by proxy at the meeting to have a quorum.


The new time scheduled for the meeting is Friday, December 29, 2023 at 8:30 a.m. Central Time. If you are a shareholder it would behoove you to vote ahead of the meeting tomorrow or plan on logging in at the time to cast your votes virtually.


 


The WHAT:


We have seen some bad actors on social media spreading falsehoods regarding what this voting measure is for saying it is for a reverse split. This is not true and only the following measures will be voted on:


  • ELECTION OF DIRECTORS

  • APPROVE COMENSATION OF NAMED EXECUTIVES

  • RATIFY SELECTION OF BOARDS CHOICE OF AUDITOR


The Board presently has nine members. CEO and Executive Chair, Tony Aquila along with President Josette Sheeran positions on the board are up for reelection. If elected at the Annual Meeting, they would serve until the 2026 annual meeting.


As part of Mr. Ethridge’s appointment as CFO of the Company, Mr. Ethridge will also continue to serve as a member of the Board until no later than December 31, 2023. This vote does not involve the appointment of a replacement for this seat.




 

The HOW:


In order to vote, you'll need to notify your broker to vote by proxy or log in virtually to the meeting with your CONTROL number.


Your control number is located on the Voting Instruction Form or notice you received in the mail or via e-mail. You can usually find your proxy materials online in your account statements tab. If you need to replace a lost Voting Instruction Form, please contact the Corporate Issuer, Mutual Fund, Investment Firm or Broker Dealer holding your securities.

You'll have the option of logging in with your control number in order to cast your votes, or logging in as a guest, however, you won't be able to vote.


If you have shares that were lent out on loan to short sellers as of the date of record, October 27, 2023, you will NOT be able to vote with those shares.

it is inline, if not under paid, compared to their peers. Also keep in mind they arent selling shares getting rich off them grifting. they are in it long term to win it.

How many digits is the control number and does it remain the same for future proxy votes as well?

I believe it is a 16 digit number. As far as I know, the control number is generated on the date of record, so it is possible it changes each time but it could just as easily be reused...sorry that is a long winded way to say "I dont know" :) I'll pay attention next vote and see if its the same or changed.
